November 1999 Board Minutes

November 8–9, 1999

The Board convened Monday, November 8, 1999 at 11:00 a.m. after the meetings of the various Board Committees. All Directors were present as were the President, Chief Operating Officer, and Secretary.

The Board reviewed the October 1999 minutes. Mr. Crowley reported that there was an error in the motion concerning the Progressive Dog Club. The reference to the Yorkshire Terrier Club of America should have read Yorkshire Terrier Club of Greater New York. Also, the report on the presentation of $15,000 each by AKC and CAR was to the Wake County, NC SPCA. Upon motion made by Mrs. Welsh, and seconded by Mr. Marden, the minutes of the October 1999 meeting, copies of which were made available to all Directors, were adopted as amended (unanimously).

The Chairman, Mr. Merriam, reviewed the priorities the Board had set for 1999.

Mr. Merriam reviewed correspondence sent to him as Chairman.

There was a discussion of a Board retreat planned for January 2000.

Mr. Merriam reported on recent meetings he had with officials of The Kennel Club and with the President of the Moroccan Kennel Club.

The President, Mr. Cheauré, discussed a staff proposal on the use of DNA. Mr. Slay, staff, was present and participated in the discussion. Under the proposal effective for litters whelped on or after January 1, 2000, parentage verification will be used to underwrite the integrity of the registry in all DNA programs. Excluded litters will be corrected when possible, otherwise, they will be cancelled. The matter will be considered further at the December 1999 meeting.

Mr. Cheauré gave an update on the Raleigh, North Carolina Operations Facility renovations.

Mr. Cheauré reported that he and Ms. Scully had attended the National Agility Championship in Denver, Colorado.

Mr. Cheauré gave an update on the staffing of the Public Relations area. He also discussed the development of a strategic corporate communications, marketing and public relations plan. Mr. Cheauré reported that there would be a presentation in December on the subject of Canine Health Insurance.

The Treasurer, Mr. Marden, gave a financial update. Mr. Murphy, staff, was present for and assisted in giving this report. The Financial Report for October 1999 showed an excess of revenue over expenses of $285,000.

The registration figures for October 1999 (individual and litter registrations) are 132,252 versus 146,895 for October 1998.

There was a discussion on amendments to the Pension Plan, recommended by the Pension Committee. The Chairman indicated that, without objection, the changes in the following resolution will be implemented as indicated:

THE AMERICAN KENNEL CLUB

WHEREAS, The American Kennel Club ("Club") maintains the Employees’ Retirement Plan of The American Kennel Club ("Plan") for the benefit of such of its employees as are eligible thereunder; and,

WHEREAS, in accordance with the power reserved to it in Section 10.01 of the Plan, the Club, by action of its Board of Directors, may amend the Plan at any time, subject to certain conditions not now relevant; and,

WHEREAS, the Club deems it advisable, effective January 1, 2000, to amend the Plan to (1) change the early retirement reduction factor to 6 percent per year for each year by which the participant’s benefit commencement date precedes attainment of age 62 and (2) include service rendered prior to age 18 for vesting purposes;

NOW, THEREFORE, it is

RESOLVED, that the Plan shall be, and hereby is, amended effective January 1, 2000 in the following respects:

1. Section 4.03(b) is amended by the addition of the following to the end thereof:
"Notwithstanding the foregoing sentence, effective for separations from service occurring on or after January 1, 2000, the Member’s Accrued Benefit shall be reduced by 1/2 of 1 percent for each month by which the Member’s Annuity Starting Date precedes his attainment of age 62."

2. Section 4.04(a) is amended by the addition of the following after the first sentence thereof:
"Notwithstanding the foregoing sentence, with respect to any Member who has not terminated employment with all Employers and Affiliated Employers prior to January 1, 2000, Continuous Service earned prior to his 18th birthday shall count for the purpose of determining his nonforfeitable right to his Accrued Benefit."

and it is further
RESOLVED, that the proper officers of the Club are hereby authorized and directed to take such other and further actions as deemed necessary on the advice of counsel to implement the foregoing resolutions, including the making of additional resolutions not inconsistent with the general tenor of the foregoing, so that the Plan, as amended, continues to meet the qualification requirements of Section 401(a) of the Internal Revenue Code of 1986, as amended ("Code"), and the implementing trust thereunder continues to be tax-exempt under Section 501(a) of the Code.

The Secretary, Mr. Crowley, reported on further input received concerning staff attendance at Board Committee meetings. It was suggested that the Chief Operating Officer should have the option of attending meetings where employees reporting to him are in attendance. The Chairman indicated that without objection, the Board policy is so modified.

Mrs. Welsh, Ms. Scully, and Dr. Smith, members of the Judges Review Committee, left the meeting prior to the report on Judges Applications.

Mr. Hayes, staff, was present for the discussion on Judges Applications. Upon motion made and seconded, it was VOTED:

There was a discussion on the subject of judges occupational eligibility as defined in Chapter 7 of the Rules Applying to Dog Shows.

Following completion of the report on Judges Applications, Mrs. Welsh, Ms. Scully and Dr. Smith returned to the meeting.

Mr. Slay, staff, participated in the portion of the meeting dealing with disciplinary actions.

There was a report on the actions taken by the AKC staff during the month of October 1999 on the cancellation of litters and individual registrations.

During the month of October, the registrations of 15 litters were cancelled: 5 because of impure breeding and 10 as a result of the Compliance Audit Program - DNA.

The cancellation of the 15 litters resulted in the cancellation of 13 registered dogs and rendered 77 dogs, members of these litters, ineligible for registration.

In addition, 1 dog was cancelled because there was a question as to its actual identity.

AKC’s Management Disciplinary Committee has suspended Deborah Claytor (Coffeyville, KS) from all AKC privileges for a period of ten (10) years, effective November 8, 1999, and imposed a $500 fine for having submitted, or caused to be submitted, two litter registration applications which she knew, should have known, or had a duty to know, contained false certifications. The AKC’s Management Disciplinary Committee has suspended Becky, Frank and Sue Dampier (Urbana, MO) from all AKC privileges for a period of ten (10) years, effective November 8, 1999, and imposed a $500 fine for failure to comply with the rules and regulations for recordkeeping and identification, and for failure to maintain their dogs and facilities in a condition acceptable to the American Kennel Club. The AKC’s Management Disciplinary Committee has suspended Dee Derosa (Jackson, NJ) from all AKC privileges for a period of three (3) months, effective November 8, 1999, and imposed a $100 fine for having submitted, or caused to be submitted, two registration applications which she knew, or should have known, contained false certification as to the initials of the co-litter owner. The AKC’s Management Disciplinary Committee has suspended Patricia and Vern Davidson (Cassville, MO) from all AKC privileges for a period of ten (10) years, effective November 8, 1999, and imposed a $500 fine for having submitted, or caused to be submitted, three litter registration applications which they knew, should have known, or had a duty to know, contained false certifications. The AKC’s Management Disciplinary Committee has suspended Joseph Russell Hosp (Stockton, NJ) from all AKC privileges for a period of ten (10) years, effective November 8, 1999, and imposed a $500 fine for having submitted, or caused to be submitted, two litter registration applications which he knew, should have known, or had a duty to know, contained false certifications. The AKC’s Management Disciplinary Committee has suspended Evelyn and Howard Munneke (Corisca, SD) from all AKC privileges for a period of ten (10) years, effective November 8, 1999, and imposed a $500 fine for having submitted, or caused to be submitted, a litter registration application which they knew, should have known, or had a duty to know, contained false certification. (Dachshund)

The AKC’s Management Disciplinary Committee has suspended Bertie Ragan (Lavaca, AR) from all AKC privileges for a period of ten (10) years, effective November 8, 1999, and imposed a $500 fine for having submitted, or caused to be submitted, two litter registration applications which she knew, should have known, or had a duty to know, contained false certifications. The AKC’s Management Disciplinary Committee has suspended Robert Roper (Ketchum, OK) from all AKC privileges for a period of two (2) years, effective November 8, 1999, and imposed a $300 fine for having submitted, or caused to be submitted, the registration application and rejection notice for a male Golden Retriever, Rikki Yeshua, SN555172/05. (Golden Retriever)

The AKC’s Management Disciplinary Committee has suspended Janice Sandoval (Colorado Springs, CO) from all AKC privileges for a period of ten (10) years, effective November 8, 1999, and imposed a $500 fine for having submitted, or caused to be submitted, a litter registration application which she knew, should have known, or had a duty to know, contained false certification. (Poodle)

The AKC’s Management Disciplinary Committee has suspended Wanda Ward (Coffeyville, KS) from all AKC privileges for a period of ten (10) years, effective November 8, 1999, and imposed a $500 fine for having submitted, or caused to be submitted, two litter registration applications which she knew, should have known, or had a duty to know, contained false certifications. Upon completion of the above reports, Mr. Marden, Ms. Laurans and Mr. Kelly returned to the meeting.

Mr. Goodman gave the Events and Clubs Committee Report on fines assessed clubs for late submission of date applications and judges panels.

Following a motion by Ms. Scully, seconded by Mr. Goodman, it was VOTED (unanimously) to approve the membership application of the Border Collie Society of America. The matter will be considered at the December 1999 Delegates meeting. There was a discussion on the approval of visiting judges. Following a motion by Dr. Smith, seconded by Ms. Scully, it was VOTED (affirmative, Ms. Laurans, Dr. Mays, Ms. Scully, Mrs. Welsh, Mr. Kelly, Dr. Hritzo, Dr. Smith, Mrs. Strand, Dr. Battaglia, Mr. Marden; opposed, Mr. Merriam, Mr. Goodman) to adopt the following policy:

Approval of Visiting Judges Policy

There was discussion on a request from the Owensboro’s River City Kennel Club for approval to hold two shows 77 and 143 miles from its area in 2000. Following a motion by Dr. Smith, seconded by Mrs. Welsh, it was VOTED (unanimously) to waive the prior notice requirement so the matter could be considered at the November meeting. Following a motion by Dr. Mays, seconded by Ms. Scully, it was VOTED (unanimously) to deny the request.

Dr. Battaglia gave a report from the Business and Planning Committee.

There was a review of disciplinary guidelines. Following a motion by Mr. Marden, seconded by Ms. Scully, it was VOTED (unanimously) to adopt the following discipline guidelines, which are attached to these minutes.

Following a motion by Dr. Battaglia, seconded by Ms. Laurans, it was VOTED (unanimously) to make the Discipline Guidelines effective January 1, 2000.

Following a motion by Dr. Battaglia, seconded by Ms. Scully, it was VOTED (unanimously) to apply the new penalties to any cases not yet finally resolved.

Following a motion by Mrs. Strand, seconded by Mr. Kelly, it was VOTED (unanimously) the Board may consider the new penalties when deciding upon applications for modification of penalties.

Dr. Battaglia reported on a test program for automobile and homeowners insurance offered by Travelers Insurance.

AUTOMOBILE AND HOMEOWNERS INSURANCE FOR AKC CONSTITUENCY

Travelers is a part of Citigroup and has assets of $50B. Financial rating is A+.

Lead product is Auto with offerings for homeowners, boats, valuable items, personal umbrella and flood. Will start with test program of 40,000 net (up to 80,000 gross) names from the Gazette and breeders lists.

Auto insurance for vehicles up to 25 feet in length. Does not cover commercial vehicles. Bollinger will place and coordinate commercial coverage. Homeowners offered with NO breed exclusions. Application will ask if there has been a history of aggression or bites. Offered in 49 states (not Alaska). There are restrictions in disaster prone areas such as Florida, Texas, California. All insurance companies have similar restrictions.

Travelers will pay for promotion using Gazette, list mailings, web site and maybe inserts in show catalogs.

Group pricing will be offered which represents a 10%-12% discount from single policies. AKC will split the commission with Bollinger 50/50. Payment to AKC will be considered an administrative fee.

Implementation after test program will depend on test results. Minimum to proceed is 2% response rate and 25% close rate.

Implementation and schedule: 1) contract signing 30 days; 2) provide names for test by 12/99; 3) test during 1st Qtr 2000 (want to avoid holidays); 4) review results by end of May 2000, if successful, launch full program in June/July 2000.

Monthly reporting during test will include number of mail solicitations, number of applications received, number accepted, $ revenue.

After successful test Travelers would like a multi-year agreement. AKC wants to be sure that Travelers will not walk away from this business giving AKC a bad name.

There was a discussion of a request from the American Rare Breed Association for AKC to write to FCI indicating that AKC had no objection to FCI accepting ARBA pedigrees for non-AKC registrable breeds.

Following a motion by Dr. Battaglia, seconded by Mrs. Welsh, it was VOTED (unanimously) to waive the advance notice requirement to consider the above request at the November meeting. Following a motion by Mrs. Strand, seconded by Mr. Goodman, it was VOTED (unanimously) to deny the request.

It was reported that the committee had discussed privacy issues as they relate to e-commerce with regards to AKC products on its web site. It was emphasized that the Board is sensitive to this and that it is looking into all potential implications.

Ms. Laurans indicated that her financial report on the Breeders’ Education Committee would be given in December, when the final figures would be available.

Mrs. Strand gave the report for the Marketing and Public Affairs Committee. The committee had focused its discussion on staffing the PR area and the development of a strategic corporate communications, marketing and public relations plan.

It was reported that the letter of agreement between AKC and the AKC Canine Health Foundation had been signed by all parties.

Meeting reconvened on Tuesday, November 9, 1999, at 8:15 a.m. All Directors were present, as were the President, Chief Operating Officer, and Secretary.

There was a review of the proposed 2000 budget. The major focus for 2000 includes:
  • Implementing a revised judges approval process.
  • Expanding Performance Field Trial Staff.
  • Implementing Obedience Advisory Committee Recommendations.
  • Increasing core (registration) revenue through process improvements and incentives.
  • Commencing registration reengineering design.
  • Completing order entry reengineering (part of registration reengineering).
  • Updating the Show/Trial Manual and judges education artwork.
  • Developing web site strategic alliances to significantly increase traffic.
  • Expanding web site products to become a major revenue resource.
  • Developing marketing initiatives for alternative revenue opportunities.
  • Developing a Public Relations department to enhance AKC’s image.
  • Initiating a Breeder Education Program.
  • Continuing DNA initiatives (frequently used sires).
  • Supporting Awards for Canine Excellence (ACE).
  • Growing AKC publications and advertising revenues.
  • Initiating a program to microfilm aging GAZETTE magazines.
  • Continuing support of the CHF and the Museum of the Dog.
  • Hosting the World Congress.
  • Enhancing employee benefit programs.
As part of the budget review, Alexander Draper, Deborah Lynch, and Deborah Ann Di Lalla gave a presentation in support of the Canine Health Foundation’s request for funding. Among the areas reviewed were health research issues, science highlights, and development goals. Following discussion, there was a motion by Dr. Smith, seconded by Mr. Marden, and it was VOTED (unanimously) to approve the 2000 budget.

Mr. D’Altilio gave an update on registration reengineering.

There was a discussion on the proposal to register or recognize professional handlers. The matter was to be considered for a vote at the December 1999 meeting.

Dr. Mays gave a report for the Audit Committee, which had a meeting with a representative from AKC’s auditors, Ernst & Young, earlier in the day. All AKC operations were found to be Y2K compliant.

Following a motion by Dr. Smith, seconded by Mrs. Strand, it was VOTED (unanimously) to indicate that it was the Board’s intent to hold the October 2000 Board meeting in the vicinity of the AKC Advanced Sporting Institute so that Board members would have the opportunity to attend a portion of it.

There was a discussion of future contributions to the AKC Canine Health Foundation. Following a motion by Dr. Battaglia, seconded by Ms. Scully, it was VOTED (unanimously) to adopt the following Declaration of Intent:

The American Kennel Club (AKC) declares its intention to fund the AKC Canine Health Foundation (CHF) for the next five years as follows:
  • Beginning with the year 2001, the AKC would grant to the CHF, one million dollars per year, of which $600,000 would be restricted to research and $400,000 to administration for that year. Each year thereafter through the end of the five-year period, the AKC would increase the grant allotment by $100,000 and reduce the administration allotment by $100,000.

  • At the end of the fifth year (2005), the one million dollar grant would be used entirely for grants.

  • AKC believes that this declaration will assist both AKC and the CHF in their planning and the development of their business plans.
